XWEIGHTED.COM AGREEMENT

Welcome to www.XWeighted.com (the “Website”) a community-driven health, fitness and weight loss website on the Internet designed to complement the television series “X-Weighted” (the “Series”) and to provide viewers of the Series a meeting place to join in a community with like minded individuals and to provide a rich, totally interactive wellness and health experience that is customized to his or her needs, available online and anytime. The Website is owned and operated by XWeighted.com Productions Inc. (the “Producer”).

The services provided on the Website include: the Website; video content and images featuring stories from the Series with follow up information on past participants and advice from the experts featured in the Series; the Website groups and blogs; commenting services, contests; Website audio and visual downloading and uploading services; “My X-Weighted” section; “The Community” section, “The Challenge” section and any other features, content, or applications offered from time to time by Producer in connection with the Website (collectively, the “Services”).  The Services are intended for Canadian users.

Please read and save the following Membership Rules, Terms of Use and Privacy Policy (collectively the “Agreement”) carefully before using this Website. This Agreement includes the Producer’s rules and policies for: acceptable use of the Website and the Services posted on the Website; your rights, obligations and restrictions regarding your use of the Services; and the Website Privacy Policy and governs your relationship with Producer and describes the legally binding terms for your use of the Services offered on the Website whether you are a “Visitor” (which means you simply browse and search the Website) or you are a “Member” (which means that you have registered with the Website to become a Member).  The term “User” refers to a Visitor or a Member.  If you register to become a Member, you will be required to complete an online Registration Form and Sections 1, 2 & 3 of this Agreement will apply to you.  If you are solely a Visitor, Sections 2 & 3 of this Agreement will apply to you. 

By using the Website and the Services you agree to be bound by this Agreement.  If you do not agree to the terms of the Agreement, you should leave the Website and discontinue your use of the Services immediately. You are only authorized to use the Website and the Services if you agree to abide by all applicable laws and to this Agreement. 

Producer may modify the Agreement from time to time without notice and such modification shall be effective upon posting by Producer on the Website.  You agree to be bound to any changes or modifications to the Agreement when you use the Website after any such modification or change is posted.  It is important that you review the Agreement, including any relevant portions of the Membership Rules, Terms of Use and Privacy Policy regularly to ensure you are aware of any updates or changes. 

If you wish to become a Member and make use of the Services, you must read this Agreement and indicate your acceptance by clicking “I AGREE” during the registration process.  In order to participate in certain member only Services, you may be notified that you are required to download software or content and/or agree to additional terms and conditions.  Unless otherwise provided by the additional terms and conditions applicable to the Services, those additional terms are hereby incorporated into this Agreement. 

Who can register:  Anyone who is interested in health and wellness and what the Website has to offer!  You should be 18 years and otherwise capable of entering into a legally binding contract under applicable law.

 

SECTION 1 - MEMBERSHIP RULES

1.1          By clicking “I AGREE” during the registration process you will become a Member of Website with certain Membership privileges to access, download and upload information, entertainment, video and images on the Website and will be legally bound to sections 1,2, and 3 of this Agreement.  You may choose your Membership username but if your choice is already taken, or if Producer, in its sole discretion, decides yours is inappropriate, one will be assigned to you.  Only Members can Upload, use Member Blog, Download and Comment on other Member profiles, create and upload your My X-Weighted Episode or use the other Services included and accessible on the Website, as are updated and modified from time to time (the “Membership Privileges”).  Some or all of your Membership Privileges can be suspended for a time or indefinitely at Producer's sole discretion. 

1.2          When you become a Member and begin using the Membership Privileges and accessing the Services, you will be asked to choose a password and will be provided password protected access to your unique, username.  You alone are responsible for keeping your personal password confidential, and you are responsible for any and all activity that occurs on this Website under your password or Membership username.  You agree to immediately notify Producer of any suspected unauthorized use of your password or Membership username or any other breach of security. Producer will not be liable, directly or indirectly, for any loss or damage of any kind incurred by you or anyone else as a result of your failure to protect the confidentiality of your password and/or Membership username.

1.3          When you register to become a Member, you will have a choice of three types of Profiles that offer different levels of access to your information so your Membership is perfectly designed to suit your needs and interests: (a) Public Profile; (b) Limited Profile; and (c) Private Profile.  If you choose Public Profile for your Membership, all registered community members will have access to EVERYTHING including your photos, weight, measurements as well as the ability to read your blog, see what groups you have joined and view your My X-Weighted Episode.  If you choose Limited Profile then all registered community members will have access to your photos, weight, measurements but will not have the ability to read your blog or view your My X-Weighted Episode.  If you choose Private Profile then your profile is completely hidden and other members of the community will not be able o view your profile.

1.4          You will have an opportunity to create a Website profile and post and upload certain information and other content about yourself.  Choose the information you post on the Website carefully.  You will have an opportunity to post photographs of yourself, or images and videos of you and your activities, family and friends, or other content, including without limitation your My-X-Weighted Profile, My X-Weighted Episode and My X-Weighted Blog (collectively “Member Content”).  For your own security, we strongly recommend that you do not post any personal information, such as your home telephone number or home address or other personally identifiable confidential information on the Website.  Producer reserves the right, but not the obligation, to delete any personally identifiable confidential information about any Member if it deems, in its sole discretion, such action to be in the best interests of the Member.  Notwithstanding the forgoing, you acknowledge and agree that you are solely responsible for your Member Content.  Any Member Content posted on the Website is subject to the terms and conditions of these Membership Rules, Terms of Use and the Privacy Policy.

1.5 Membership and use of Membership Privileges is void where prohibited by law. By becoming a Member and using Membership Privileges you represent and warrant that (a) all Member registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older and otherwise capable of entering into a legally binding contract under applicable laws; and (d) your Membership and use of Membership Privileges does not violate any applicable law or regulation. Your Membership to Website and any or all of your Membership Privileges may be terminated without warning if: (1) we believe that you are under 18 years of age; or (2) you breach any of the terms and conditions of this Agreement; or (3) your use of the Membership Privileges breaches any applicable law in Canada.  Your acknowledge and agree that Producer has the right to request proof of age and is entitled revoke or deny Membership to any person who is unable to provide satisfactory proof that he or she is 18 years of age or older.  To be eligible to enter into any contests offered on Website you must be 18 years old to participate.      

1.6 To Upload means you have the opportunity to record and electronically upload your Member Content onto the Website server using Website’s software, hardware and technology.  We believe that you will enjoy the Website, the Membership Privileges and the Services, but there are restrictions to what Members are entitled to post and include in their Member Content.  Your Member Content may not include any content or information that is perceived by Producer as being obscene, lewd, excessively violent, harassing, sexually explicit, discriminatory or otherwise illegal or objectionable in nature, as determined in the exclusive and complete discretion of Producer. Producer reserves the right, in its sole discretion, to reject, refuse to post or remove any posting Uploaded by you, or to restrict, suspend or terminate your access to all or any part of the Website, including any Member Content, at any time, for any reason without prior notice and without liability.  You agree that Producer has the right but not the obligation to monitor the Website and your Member Content, but Producer nonetheless does not assume any responsibility for your Member Content, for which you retain complete responsibility.  Producer does not endorse any Member Content nor does any Member Content posted on the Website necessarily reflect the views and opinions of Producer.  Producer makes no warranties, express or implied, as to the Member Content, or to the accuracy or reliability of the Member Content or to any material or information transmitted from one Member to another.   

1.7 By Uploading your Member Content any and all rights in and to the Member Content, and the right to use your name, likeness, and Membership username, in all media now know or in future devised in all territories of the world and throughout the universe, and in all languages, are licensed by you on a non-exclusive basis, together with the right to sub-license same, to Producer at no charge and royalty free for use, exhibition, distribution and exploitation on the Website and other related services or websites, television programs, print materials, promotional spots in perpetuity and you agree to waive your moral rights in the Member Content as necessary to give effect to this license.   

1.8 Producer shall have the right to use (or not use), modify, edit, alter, juxtapose, compile, publish, display, reproduce, publicly perform, broadcast, exhibit, promote, advertise, market, sub-license and exploit the Member Content in any way it sees fit at its sole discretion for so long as the license is in effect, and has the unfettered right to sub-license such rights to any other party at its sole discretion. 

1.9 All of the licenses you grant to Producer for Website in relation to the Member Content will continue in effect, unless you inform Producer in writing, at XWeighted.com Productions Inc., Suite 350, 889 Harbourside Drive North Vancouver, BC, Canada V7P 3S1 or email to unsubscribe@XWeighted.com your intention to cease your Membership and your desire to delete your Member Content from the Website. 

1.10 You represent and warrant that your Member Content Uploaded by you and not provided by Producer or another Member are all original to you and are owned or licensed in its entirety by you with the permission of any applicable third party owner(s) at the time of the Upload and that you have the right to make the grant of license to Producer described in this Membership Rules and the Agreement and you will indemnify and save harmless Producer and any and all of its directors, officers, employees, heirs and assigns, shareholders, agents, funders and licensees, against any and all claims brought or threatened by third parties who challenge this representation and warranty, including, but not limited to, damages and legal fees.

1.11 Neither Producer nor Website is obliged to pay you any consideration, fees or buy-outs of any kind or nature for your Member Content or the use of your name, likeness or Membership username pursuant to this Agreement.  All claims for monetary or non-monetary consideration, compensation, royalties, fees or buy-outs for your Member Content outside of the terms of this Agreement are expressly and forever waived by you.   

1.12 To Blog means the opportunity to display or publish (“post” or "posting") any information including without limitation (i) text, graphics, music, photos, animation, artwork, data, information, hypertext links, scripts or other material, and (ii) websites and contents proximately reachable from such content (collectively, "Blog Material") on a web log (the “Blog”) set aside by Producer for you on the Website server for that purpose and accessible via the Website.

1.13 To Comment means the opportunity to include text comments with your opinion of other Website members' Blog Material or Member Content. You are solely responsible for your Comments, and Producer will not be liable in any way for any error or omission, or loss or damage of any kind arising from your Comments.  Producer will not pre-screen your Comments, but has the right, but not the obligation, to modify, refuse or remove your Comments, and/or to suspend the Membership Privileges of any Member to Comment or to enjoy any other Membership Privileges at our sole discretion.  By posting your Comments to our Website, such information shall be deemed to be non-confidential.  You acknowledge and agree that Producer may archive your Comments, but has no obligation to do so, and may also disclose your Comments at any time and for any reason for its own purposes or as required by law.   

1.14 Upon posting, you grant (or warrant that the owner of such material expressly grants) to Producer for Website a world-wide, royalty-free, non-exclusive, perpetual, irrevocable, and fully sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the Blog Material, Comments and other forms of Member Content and to incorporate same in other works in any form, media, or technology now known or later developed and you waive any and all moral rights therein. You represent and warrant that: (i) you own the Member Content posted by you or otherwise have the right to grant the rights and licenses set forth in this Agreement, and (ii) the posting of your Member Content does not violate the privacy rights, publicity rights, personality rights, privacy rights, copyrights, trademark rights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing to any person by reason of any Member Content posted by you.  You are solely responsible for your Member Content and Producer will not be liable in any way for any error or omission, or loss or damage of any kind arising from your Member Content. 

1.15 Producer will not pre-screen your Member Content, but has the right, but not the obligation, in Producer’s sole discretion, to modify, refuse or remove your Member Content, and/or to suspend the Membership Privileges of any Member to use or to enjoy any other Membership Privilege(s) at Producer’s sole discretion.  By posting your Member Content to our Website, such information shall be deemed to be non-confidential. You acknowledge and agree that Producer may archive your Member Content for internal purposes, but has no obligation to do so, and may also disclose your Member Content at any time and for any reason for its own purposes or as required by law.  Please note that unless stated otherwise for specific services, and subject to the terms and conditions above, you will retain all copyright in the Member Content so long as it originally belongs to you, and the licenses to Producer described herein. 

1.16 Please choose carefully the information you post on the Website and that you provide to other Members and include in your member Content. You are solely responsible for, and are required to exercise caution, discretion, common sense and judgment in, using and accessing the Website and all content contained therein and Uploading your Member Content. Your Member Content, Blog Material, and Comments may not include the following items: telephone numbers, street addresses, passwords, viruses, spyware, malware, illegal software or any hyperlinks to same, and any images, audio or video files containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit, illegal or otherwise objectionable subject matter. Despite this prohibition, you represent and warrant that you understand that information provided to you by other Website Members might contain inaccurate, inappropriate, offensive or sexually explicit material, products, viruses, malware or other programs, and Producer and Website assume no responsibility or liability for any such material whatsoever. If you become aware of misuse of the Membership Privileges by any person, please contact support@xweighted.com.

1.17 You agree to use this Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, this Website by any third party, including other Members and Users. Such restriction or inhibition includes, without limitation, conduct that is unlawful or that breaches another person's intellectual property rights or that may harass or cause distress or inconvenience to any person and the transmission of defamatory, pornographic, obscene or offensive content or disruption or normal flow of information or communication within this Website.   Do not Upload or post on your Blog or include in your Comments or other forms of Member Content any defamatory, obscene, offensive or illegal material, including text, graphics, video, programs or audio or hyperlinks to same. Uploading or posting material, including hyperlinks or mirrors, with the intention of causing damages or committing an illegal act is strictly prohibited.

1.18 Producer assumes no responsibility for monitoring the Website for inappropriate Member Content, including without limitation Blog Material and Comments, or any Member or User conduct. If at any time Producer chooses, in its sole discretion, to monitor the Website, Producer nonetheless assumes no responsibility for the Member Content, Blog Material, Comments or conduct, no obligation to modify or remove any inappropriate Member Content, Blog Material, Comments or to deny access by any Member, and no responsibility for the conduct of the Member submitting any such Member Content, Blog Material, or Comments.

1.19 Member Content and all other Membership Privileges may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Producer. Illegal and/or unauthorized use of Membership Privileges, including collecting member usernames, passwords, email addresses, civic and/or legal addresses and/or personal or business information of Members or any other Users of the Website by electronic or other means for any purpose is prohibited. Unauthorized mirroring or, framing of or linking to the Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation shall be removed without notice and may result in suspension of Membership Privileges. Appropriate legal action will be taken for any illegal or unauthorized use of Membership Privileges.

1.20 You agree to defend, indemnify and hold harmless Producer, its respective affiliates, officers, directors, employees, shareholders, heirs and assigns, agents, funders and licensees from and against any and all costs, claims, fines, penalties, demands, investigations, liabilities, losses, damages, judgments, settlements, costs and expenses, including reasonable legal and accounting fees arising out of or in connection with (a) your Member Content (b) your Blog Material, (c) your Comments and/or (d) your (or anyone acting under your password or Membership username) use of this Website, or any alleged violation by you of any of the terms contained in this Agreement.  Notwithstanding the foregoing, Producer retains the exclusive right to defend, settle, and pay any and all claims, demands, proceedings, suits, actions or causes of actions which are brought against Producer and in no event shall you settle any such claim without our prior written approval.

1.21 You may cancel your Membership at any time by sending an email to unsubscribe@xweighted.com. Cancellation of Membership does not terminate Producer’s and Website’s ongoing rights and licenses in and to your Member Content including without limitation your Blog Material, and Comments.  Pursuant to the Privacy Policy, if you wish to amend, update or remove the personal information you have provided, send request to support@XWeighted.com.

 

SECTION 2 - TERMS OF USE

 By visiting this Website and using the Services, you will be legally bound by Sections 2 and 3 of this Agreement, unless you register to become a Member to access the Member only Services and use the Member Privileges, in which case Sections 1, 2 and 3 of this Agreement will apply to you. 

The name and mark “X-Weighted” and “XWeighted.com”, is the trademark or wordmark of Producer and are owned or licensed to Producer. All materials, including but not limited to images, logos, audio and video clips, animation, diagrams, photographs and any and all information of any kind in any form (the “Materials”), incorporated into, published or otherwise exhibited on this Website are protected by copyright or other intellectual property rights and are owned and controlled by Producer or third parties who have licensed Producer the right to include the Materials in this Website. Any copying, reproducing, republishing, uploading, posting, modifying or transmission or distribution of any Materials is strictly prohibited and will be considered a violation of Producer’s intellectual property rights and could result in legal liability and/or criminal sanction.

This Website is presented solely for informational, educational and entertainment purposes to visitors located in Canada. Neither Producer nor its affiliated or related entities make any representation, express or implied, that this Website will be available for use in or comply with the law of any country other than Canada. By using this Website, you agree that these Website Terms of Use shall be governed, construed and enforced in accordance with the laws of the province of British Columbia as it is applied to contracts entered into and performed entirely within such province and you submit to the jurisdiction of the courts of such province.

 

SECTION 3 - PRIVACY POLICY

This Privacy Policy is incorporated into the XWeighted.com Agreement and is applicable to all users, whether you register to become a Member or are only visiting the Website.  XWeighted.com Productions Inc. (“Producer”) is committed to respecting the privacy concerns of its visitors to www.xweighted.com (“the Website”). Producer has created this privacy policy (the “Policy”) to establish guidelines that will govern the collection, use, protection and disclosure of the personal and non-personal information of its visitors.  The Privacy Policy is modeled after the Canadian Standards Association Model Code for the Protection of Personal Information and is compliant with federal and provincial privacy laws including the federal Personal Information Protection and Electronic Documents Act and the Personal Information Protection Act of British Columbia.  

Producer collects three kinds of information from this Website (1) your voluntarily provided personal information; (2) anonymous non-personal information; and (3) “cookie” based information.

Personal Information:

Producer does not automatically collect personal information, such as name, address, phone number, email address and other personally identifiable information, from its visitors (“Personal Information”) to the Website.  From time to time, Producer may collect Personal Information that is voluntarily provided by its visitors in registering to access or use certain services on the Website, filling out contest entry forms and subscribing to newsletters, blogs, bulletin boards, and other activities carried out on the Website from time to time.  Producer will only collect and use such Personal Information solely for the purpose(s) disclosed by Producer at the time of collection and/or solely for the purpose of allowing visitors of the Website to use certain services, and only after the visitor has voluntarily agreed to such collection and use, by clicking “I agree” on the online registration form.  Producer also sometimes use email addresses that have been voluntarily provided by its visitors to respond to visitors who communicate with us, to inform winners of contests or to subscribe to newsletters or other services. Visitors can discontinue such communication at any time by sending an email from their subscribed account to unsubscribe@XWeighted.com, or by sending details of their account in a request to support@XWeighted.com.  Email addresses from visitors who wish to discontinue receipt of Producer’s emails will be removed from Producer’s distribution list and data bases. All Personal Information that may identify a visitor and has been collected with the visitor’s consent by Producer is not disclosed in any identifiable form to any other party outside the company except for Producer’s partners in the Website, including Slice Network and Canwest Media Inc. and only for the fulfillment of the specific purpose identified to the visitor at the time of collection. However Producer may disclose such information in anonymous, aggregated and non-personally identifiable form to other parties for marketing, advertising or other purposes and to better understand visitor’s use of the Website. At any time, a visitor may send an email to support@XWeighted.com to request that Personal Information be changed, removed or updated in Producer’s databases.

Visitors should exercise caution when they disclose personally identifiable information on bulletin boards, forums or in groups on this Website or any other website. Such areas are accessible by anyone and may result in the visitor receiving unsolicited messages from other people and/or companies. Although Producer is committed to protecting the Personal Information provided to it by its visitors in compliance with this Privacy Policy, it cannot guarantee the security of any information, whether personal or otherwise, that visitors voluntarily disclose online to publicly accessible bulletin boards, blogs, online diaries, forums or other publicly accessible features of the Website, including the Member Content uploaded by Members pursuant to the Membership Rules and the licenses to Producer described therein as part of the Agreement.  If you are a registered Member or want to become a registered Member, read the Member Rules in Section 1 of this Agreement carefully as they will allow you to create a Profile and choose from three types that offer different levels of access to your information and therefore will affect your privacy.

Anonymous Non-Personal Information:

When visitors visit the Website, anonymous, non personal information about their visit is automatically collected. Such information may include the length and date of the visit, how the visitor navigated the Website, what pages the visitor viewed, the type of browser being used by the visitor, the type of operating system used by the visitor and the domain name of the visitor’s Internet service provider. Producer uses this Anonymous Non-Personal Information to track the success of its Website with its visitors and to better tailor the Website to visitors’ needs and interests. This Anonymous Non-Personal Information may be shared with other parties, such as broadcasters, advertisers, sponsors and partners.

Cookie-based Information:

Producer may use cookies on its Website. “Cookies” are pieces of information that a website transfers to a visitor’s hard drive for record keeping and identification purposes. Cookies are used to make the visitor’s use of a website easier by saving visitor preferences and passwords and to identify which areas of the Website are popular and which areas need improvement and how to target certain advertising to its visitors. Producer does not use cookies to collect personally identifiable information except in connection with a password protected online registration for a contest or newsletter or other service and only with the visitor’s informed consent. Visitors may visit the Website with its cookies turned off to avoid the collection of Cookie-based Information.

Protection of Visitors’ Personal Information:

Producer protects the Personal Information it collects with appropriate technological, physical and administrative safeguards to protect it from unauthorized disclosure or use. Personal Information collected by Producer is stored on its databases, which are protected by firewalls and are password-secured and access is limited to authorized individuals. Producer retains the Personal Information only for as long as is required for the purposes identified at the time of its collection and consented to by the visitor providing it or as otherwise required by law. Once Personal Information is no longer necessary for the purposes consented to by the visitor, it is Producer’s general practice to delete it from its data bases or systems or make it anonymous.

Children’s Privacy:

Producer is committed to protecting the privacy of children. You should be aware that this Website is not intended or designed to attract children under the age of 18. We do not collect personally identifiable information from any person we actually know is a child under the age of 18.

Linked Websites:

This Website may be linked to other websites under the direct control and ownership of Producer which are all operated in compliance with this Privacy Policy. However, this Website also may link to websites that are not under the control of Producer and are required to have their own privacy policies. Producer is not responsible for and shall not be held liable for any procedures, policies or activities of any websites linked to the Website unless such linked websites are under the direct control and ownership of Producer. Visitors should ensure they inform themselves of the privacy policies of any websites they visit and the visitor hereby acknowledges that he/she uses any websites linked to the Website entirely at his/her own risk.
